MERCES · POWERED BY MERCERY

Back the person,
not the company.

Merces lets people raise capital against a capped share of their future income, without forming a company. Backers get verified, capped cash flows. Issuers keep every life choice.

Issuers are invited and reviewed. Review is not a guarantee.

One claim on a person, across every chapter

Venture capital says it backs founders but invests in companies, so the investor's upside ends with the first entity. Merces matches the instrument to the real bet: the person, across every career chapter.

Issuers are invited and reviewed, and review is not a guarantee. Backers pass eligibility checks.

II · THE PANTHEON / ISSUERS

Raise as a person,
not a company

Capital can back companies but not people, so talented individuals must squeeze their lives into company-shaped containers to get funded. Issuers are the primary user; every trade-off favors them.

  • Artist or musician

Capital to make work without a label or gallery advance, repaid only above the threshold.

COVERS · Sales, content and royalties

    • Onchain split
    • zkTLS from distributor
  • Engineer

Money to relocate, study or take a risky role. A capped claim on salary, with no say for holders in career moves.

    COVERS · Salary

    • zkTLS from payroll
    • Annual attestation
  • Freelancer

Runway between clients or to build a practice. Payments flex with revenue and stop below the threshold.

    COVERS · Client revenue

    • zkTLS from Stripe
    • Invoice split
  • Founder

Funding that survives a failed first startup. One claim across every company, salary and exit.

COVERS · Salary, dividends, equity exits

    • Liquidity pledge
    • Token vesting split
III · THE PACT — POSEIDON & HERA

III · THE PACT / HUMAN EQUITY UNITS

Contracts first, tokens second

An HEU is a capped claim on a fixed share of the issuer's covered income above a protected threshold. Nothing is owed until income clears that threshold. The legal agreement is the asset; the onchain unit represents it.

Payment equals the covered income above the threshold, times the share rate s. Never less than zero.
  • Career-agnostic

One claim spans employment, freelancing, startups, content and IP.

  • Capped

Each unit ends once it has paid out its cap.

  • Voluntary

The issuer opts in. No retroactive claims on income earned before issuance.

  • Enforceable

A legal contract backs every unit; the token only represents it.

  • Transferable in windows

Sealed-bid series: no continuous trading, so no live ticker on a person.

Pays only above the threshold

EXAMPLE · θ $40,000 · s 6%
$96,000
Payment owed to holders
$3,360

Split pro rata across units. Holders see this number, never your income sources, or anything below your threshold.

PRIVATE PAYOUTS · COMING SOONPayment amounts are visible onchain today. An illustration of the formula, not a forecast.

Every unit ends

Either by reaching its payout cap or by the issuer buying it back. This is the core dignity mechanism.

Payout cap
Each unit burns after paying out N times its issue price, for example 2–3×.
Redemption
After the lockup, the issuer can buy back the whole series at the formula price.
Tail clause
A covered exit within 12 months of a redemption still pays redeemed holders.
Hardship pause
Illness or caregiving defers payments without penalty, proven privately to an attestor.
The buy-back price is the smaller of the cap left and the larger of two terms: the issue price grown at the hurdle rate, and k times the average yearly gross payment per unit over the last three years.

The min means buying out never costs more than paying off the cap. The max protects the backer's baseline return.

Standard values: h = 8% a year, k = 5. D̄ averages gross payments per unit.

IV · THE TEMPLE / MERCERY

Capital formation,
built like a temple

Mercery is the mechanism behind Merces: issue, verify, pay, redeem. It runs one loop per issuer, on the chain that issuer chose. The two paths meet at the auction and at every payment.

  2. 02Auction

PATHS MEETSealed bids on the issuer's chain. All winning bids clear at one price. Below the minimum raise, every bid is refunded.

  3. 03Release

ISSUERCapital releases from the onchain treasury on a fixed schedule, with no approval needed.

BACKERRaised funds sit in an onchain treasury, never with the issuer up front.

  4. 04Verify

ISSUEREach period, submit a ProofOfIncome report. A zk circuit computes only the payment owed.

BACKERSee the payment. Never income sources, anything below the threshold, health, location or plans.

  5. 05Pay

PATHS MEETThe payment lands in the payout vault and splits pro rata across outstanding units. Holders claim each period.

  6. 06Retire

V · THE ORACLE / PROOFOFINCOME

The harder to fake,
the cheaper to raise

ProofOfIncome grades every income source by how hard it is to fake, and stronger proofs earn the issuer a lower share rate. Issuers choose verification because it is cheaper, not because they are forced.

  • Tier 01

    Onchain split

How it proves income: Income passes through a contract that routes the HEU share automatically.

Best for: Onchain art and music sales, crypto invoices, founder token vesting

    Share rate: Lowest

  • Tier 02

    zkTLS from source

How it proves income: Figures proven from Stripe, Deel or DistroKid, on the issuer's own device.

Best for: Salaries, freelance revenue, streaming royalties

    Share rate: Low

  • Tier 03

    Accountant attestation

How it proves income: A CA or CPA signs off on the annual tax return.

Best for: Founder exits, mixed or offline income

    Share rate: Standard

  • Tier 04

    Self-attestationNot yet available

How it proves income: Signed statement, subject to random audits.

Best for: Sources no adapter covers yet

    Share rate: Highest

Prove the payment, not the income. A zk circuit computes max(0, income − threshold) × rate and publishes only the result.

Enforcement. The oracle detects underpayment; the legal contract enforces it. No onchain slashing of a person.

VI · THE ARENA / AUCTIONS

Welcome to the Arena

Most raises are sealed-bid auctions: bids stay hidden until the window closes, then every winner pays one clearing price. One optional style on Solana, the curve, has a live public price. There is no wallet cap and no deadline.

LOCKUP
Sealed-bid series: no transfers during the lockup, 18 months as standard.
BATCH AUCTIONS
Sealed-bid series, after the lockup: quarterly sealed bids after each income report, one clearing price.
TRANSFER HOOK
Sealed-bid series: approved wallets only. Curve series: anyone can buy; to earn, a holder must be approved and stake.
WALLET CAP
Sealed-bid series: no wallet holds more than 10% of a series. Curve series have no wallet cap.
DISPLAY
Payout yield, not a price chart. Cash flow, not a score on a human.

VII · THE CHARTER / AUTONOMY

No market
decides a life.

These terms are immutable: holders can never vote to change them, and only the issuer can amend them, in their own favour and co-signed by an attestor.

  1. Capital releases on a fixed schedule, with no approval needed.
  2. Holders see payments and status. Never income, health, location or plans.
  3. No work obligation, no non-compete, no minimum effort.
  4. Holders never decide career moves, employers, projects or where the issuer lives.
  5. The issuer can stop new issuance at any time.
  6. Death or permanent disability extinguishes all claims.
